Terms of Service

1. Acceptance of Terms

By accessing or using the MyWiFi Networks platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not access or use the Service.

These Terms constitute a binding legal agreement between you ("Reseller" or "you") and Guest Networks Inc., a company registered in Canada ("MyWiFi", "we", or "us"). MyWiFi reserves the right to update these Terms at any time. We will provide notice of material changes via email or in-app notification. Continued use of the Service following notice of changes constitutes acceptance of the revised Terms.

These Terms apply to all versions of the Service, including web dashboards, mobile applications, APIs, SDKs, and any other software or services provided by MyWiFi in connection with the platform.

2. Service Description

MyWiFi Networks provides a white-label guest WiFi management platform enabling Resellers to deploy, brand, and monetize captive portal solutions for their end-venue clients. The Service includes captive portal creation, guest data collection and management, marketing automation, analytics reporting, hardware integrations, and API access.

The Service is provided on a subscription basis. Feature availability varies by plan tier (Starter, Pro, Agency, MSP, and Enterprise). MyWiFi reserves the right to modify, suspend, or discontinue any feature or portion of the Service with reasonable notice. Material feature removals affecting active subscriptions will be communicated at least 30 days in advance.

MyWiFi operates as a platform provider. Resellers are solely responsible for the deployment of the Service at end-venue locations, for compliance with applicable local laws, and for the terms and conditions they present to their end-venue clients and end-user guests.

3. Account Registration

To access the Service you must register for a reseller account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify MyWiFi immediately of any unauthorized use of your account.

You may not share your account credentials with third parties or create multiple accounts to circumvent plan limitations. Each reseller account represents a single legal entity. Sub-accounts and team member seats are available within the platform as permitted by your plan.

MyWiFi reserves the right to reject account registrations, suspend accounts, or terminate access at its discretion, including where an account is used in violation of these Terms or applicable law.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to collect personal data without a lawful basis, to send unsolicited commercial communications (spam), to deploy portals at venues where you do not have explicit authorization from the venue operator, or to circumvent any technical or legal controls.

You must not attempt to gain unauthorized access to any portion of the Service, interfere with or disrupt the integrity or performance of the Service or its associated systems, reverse engineer or decompile any part of the platform, or use the API in a manner that exceeds documented rate limits or causes undue load on our infrastructure.

Resellers are responsible for ensuring that their end-venue clients and their guests are informed about data collection practices through appropriate notices at the point of WiFi connection. Resellers must maintain adequate consent records and honor data subject requests forwarded from their end-venues.

5. Payment Terms

Subscription fees are billed monthly or annually in advance. All fees are quoted in USD and are exclusive of applicable taxes. You authorize MyWiFi to charge your payment method on file at the start of each billing period. Failed payments may result in service interruption after a grace period of 7 days.

Subscription plans may be upgraded at any time; upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing period. Refunds are not provided for partial billing periods, except where required by applicable law.

Per-AP fees, overage charges, and add-on services are billed in arrears. MyWiFi reserves the right to adjust pricing with 30 days written notice. Price changes will not affect the current prepaid billing period for annual subscribers.

6. Data Processing

MyWiFi processes personal data of end-venue guests on behalf of Resellers. In this relationship, the Reseller acts as the data controller and MyWiFi acts as the data processor. Our Data Processing Agreement ("DPA"), available at mywifinetworks.com/dpa, governs all processing of personal data and is incorporated into these Terms by reference.

Resellers are responsible for ensuring they have a lawful basis for collecting guest personal data (email address, phone number, social identifiers, and device data) through the captive portal. Resellers must provide guests with appropriate privacy notices and obtain any required consents prior to data collection.

MyWiFi does not sell personal data collected through the platform to third parties. Data is processed solely to provide the Service as described in the DPA. 7. Intellectual Property

MyWiFi retains all intellectual property rights in the Service, including the underlying platform software, algorithms, designs, and documentation. These Terms do not grant you any ownership interest in the Service. You are granted a limited, non-exclusive, non-transferable license to access and use the Service during your subscription term solely for your internal business purposes.

You retain ownership of all data you input into the Service, including guest data collected through portals you deploy. You grant MyWiFi a limited license to process this data as necessary to provide the Service. Upon termination, you may export your data within the period specified in the DPA.

The white-label functionality allows you to apply your branding to end-user-facing components. You are responsible for ensuring you have the necessary rights to any branding materials you upload. MyWiFi's trademarks and branding must not appear on white-labeled portals without written permission.

8. Termination

Either party may terminate these Terms and close the account at any time. Resellers may cancel through the dashboard or by contacting support. Cancellation takes effect at the end of the current billing period; the Service remains accessible until that date.

MyWiFi may suspend or terminate your account immediately, without notice, if you breach these Terms, engage in fraudulent activity, fail to pay fees after the grace period, or if required to do so by law. Where possible, MyWiFi will provide advance notice of planned termination.

Upon termination, your right to access the Service ceases. Guest data and account data are retained for 30 days following termination to allow export. After this period, data is deleted in accordance with our data retention policy. Some data may be retained longer where required by law or for legitimate business purposes as described in the Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by applicable law, MyWiFi's total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the fees paid by you to MyWiFi in the twelve months preceding the event giving rise to the claim.

In no event shall either party be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, business interruption, or cost of substitute goods or services, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Any dispute arising from or relating to these Terms shall first be subject to a good-faith negotiation period of 30 days. If unresolved, disputes shall be submitted to binding arbitration administered by the ADR Institute of Canada in accordance with its Arbitration Rules. The arbitration shall be conducted in English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
